Terms of Service
Welcome to Uniee (hereinafter referred to as "Uniee").
By accessing or using the Uniee mobile application or its website www.utrmax.com, whether through a mobile device or computer (collectively, the "Service"), you agree to be bound by these Terms of Use (this "Agreement"), whether or not you create a Uniee account. If you wish to create a Uniee account and use the Services, please read the terms described herein carefully.
Agreement to Terms
By accessing or using our Services, you must be at least 18 years of age to create an account on Uniee. By creating an account and using the Service, you represent and warrant that:
You must have a valid email address if using an email platform to sign up for an account.
You are responsible for maintaining the security of your account and ensuring that no unauthorized person has access to your account. In the event an unauthorized person gains access to your account, you must notify Uniee immediately at uniee@utrmax.com.
You have not been convicted of or pled no contest to a felony or indictable offense (or crime of similar severity), a sex crime, or any crime involving violence.
You are not required to register as a sex offender with any state, federal, or local sex offender registry.
You are solely responsible for your interactions with other members. You understand that Uniee does not conduct criminal background checks on its members or otherwise inquire into the background of its members. Uniee makes no representations or warranties as to the conduct of members. If you do not understand or do not agree to these terms, do not use the service. If you do not agree to these terms, then you have no right to access or use the service. Use of the service is void where prohibited.
We may modify these terms at any time based on our sole discretion. If we do so, we will notify you by posting the revised terms on our website or through other means of communication. It is important that you review the terms when we make changes because if you continue to use the service after we post the revised terms, it means you agree to be bound by the revised terms. If you do not agree to be bound by the revised terms, then you will no longer be able to use the service. If you object to any changes or modifications, your only remedy is to cease using the service. You agree that Uniee shall not be liable to you or any third party for any changes or modifications to these terms. Unless otherwise stated by Uniee for the paid parts of the service, we reserve the right to add, change, suspend, or discontinue the service or any aspect or feature of the service without notice or liability.
Your privacy is important to us. Please read our privacy policy carefully. Our privacy policy details the ways in which we collect, use, and disclose information about you.
For the purposes of these terms, "Content" refers to text, graphics, images, music, software, audio, video, various works, information, or other materials published, generated, provided, or otherwise made available through the service; and "User Content" refers to any content provided by the account holder (including you) through the service. Therefore, Content includes but is not limited to User Content.
Uniee does not claim any ownership rights in the content you provide through the service, and nothing in these terms will be considered a limitation on your rights to use and exploit your User Content. Notwithstanding, Uniee and its licensors exclusively own all rights, ownership, and interest in the service and content, including all related intellectual property rights. You acknowledge that the service and content are protected by copyright, trademark, and other national laws. You agree not to remove, alter, or obscure any copyright, trademark, service mark, or other proprietary notices included in or accompanying the service or content.
By providing any User Content through the service, you hereby grant Uniee a perpetual, non-exclusive, transferable, worldwide, royalty-free license to use, copy, modify, create derivative works based on your User Content, distribute, publicly display, publicly perform, and distribute your User Content in connection with operating and providing the service and content with you and other account holders, for marketing and internal research purposes, and for external research purposes (for external research, any information will be provided in an anonymous and aggregated form). If you wish to terminate this license at any time, please send an email to uniee@utrmax.com You are solely responsible for all your User Content. You represent and warrant that you own all rights to your User Content, or that you have all rights necessary to grant us the license rights to your User Content under these terms. You also represent and warrant that your User Content, your use and provision of your User Content through the service, or Uniee's use of your User Content through the service, will not infringe, misappropriate, or violate any third party's intellectual property rights, rights of publicity or privacy, or any other rights, nor will it violate any applicable laws or regulations. You may remove your User Content by specifically deleting it from your profile. However, in some cases, some of your User Content (such as virtual gifts you have given or chat messages you have sent) may not be completely removable, and copies of your User Content may still exist within the service. We are not responsible for, nor do we assume any liability for the removal (or failure to remove) any of your User Content.
Subject to your compliance with these terms, Uniee grants you a limited, non-exclusive, non-transferable, non-sublicenseable license to download, view, copy, display, and print the Content, solely for personal and non-commercial purposes and only to the extent permitted by the service. Each user is responsible for any content or information they post or transmit through the service, and Uniee is not responsible for any content submitted by any user or any user's transmission of information. You may not provide any material or information in the service that infringes upon the copyright, trademark, patent, trade secret, privacy rights, publicity rights, or other rights of any person or entity, nor may you impersonate any other person. Uniee does not assume any responsibility to monitor inappropriate or illegal content or behavior in the service, and has no obligation to monitor player content. To the extent Uniee becomes aware of any player content, it has the right to edit, refuse to post, or remove any player content at its sole discretion. When you use the service, Uniee may monitor and/or record your use of the service and/or your communications while playing the service, and you hereby provide irrevocable consent to such monitoring and recording.
Your use of the service shall be limited to non-commercial purposes, which means you may not collect virtual currency or virtual goods for sale or trade, nor may you transfer, sublet, lend, sell, assign, give away, or otherwise dispose of your account or any virtual currency or virtual goods associated with your account to anyone without the written permission of Uniee. You hereby represent and warrant that you will not access or use accounts, virtual currency, or virtual goods that have been sublicensed, rented, sublet, sold, traded, given away, or otherwise transferred by the original account creator without the consent of Uniee. In addition, you may not:
Attempt to use the service to stalk, harass, abuse, or harm another person, or incite or advocate stalking, harassment, abuse, or harm to any individual or group.
Post any defamatory, threatening, obscene, slanderous, or offensive content or information based on race, gender, religion, or other aspects, or content or information containing nudity, excessive violence, or offensive themes, or links to such content.
Improperly solicit or attempt to solicit personal information from other users of the service, nor collect or post anyone's private information in the service, including personal identity or financial information.
Publish any malicious software, spyware, or other malicious content in the service.
Engage in any illegal activities, or intentionally or unintentionally violate any applicable laws or regulations.
Disrupt or cause any computer or server used in or by the service to be overloaded, or participate in any type of attack (including but not limited to spreading viruses, denial-of-service attacks) or attempt to disrupt the service or other players' use or enjoyment of the service in any other way.
Cheat or disrupt the service in any way (including but not limited to using cheats, exploiting glitches, automation software, bots, hacking, modifications, or any software designed to modify or interfere with the service or overall experience). Cheating includes but is not limited to any automated use of the service or bypassing or modifying any security technology or device within the service.
Reverse engineer, decompile, disassemble, decipher, or otherwise attempt to derive the source code of the underlying software or other intellectual property used in the service.
Attempt to access the service, other players' registered accounts, or computers, servers, or networks connected to the service by any means other than the service's user interface without authorization.
This clause is not intended to be exhaustive of all situations, and Uniee reserves the right to determine what it considers to be a violation of these terms or contrary to the spirit of the service, and to take action, which may include terminating your account and excluding you from further participation in the service. WooPlus reserves the right to (a) disable, prohibit, suspend, or deactivate any user's use or access to Uniee, or (b) terminate any user's Uniee account without notice for any reason, if Uniee believes that you have violated the terms of this agreement, abused the service, or acted in an inappropriate, illegal, unlawful, or unsafe manner. And Uniee is not required to disclose, and may be prohibited from disclosing, the reasons for terminating or suspending your account.
Uniee reserves the right to investigate and require certification materials to reactivate your account if your account has been (a) disabled, prohibited, suspended, or deactivated, or (b) terminated.
Notwithstanding any other provision of these terms, Uniee reserves the right, but not the obligation, to disclose any information you submit to the service if Uniee, in its sole discretion, believes or has reason to suspect that such information involves a party who may be a victim of abuse in any form. Abuse may include but is not limited to elder abuse, child abuse, spousal abuse, neglect, or domestic violence. Information may be disclosed to authorities that Uniee, in its sole discretion, deems appropriate to handle such disclosures. Appropriate authorities may include but are not limited to law enforcement agencies, child protection agencies, or court officials. You hereby acknowledge and agree that Uniee is permitted to make such disclosures.
Although we have no obligation to monitor access to or use of the service or content, or to review or edit any content, we have the right to do so, including but not limited to, for the operation of the service, to ensure compliance with these terms, or to comply with applicable laws or other legal requirements. We reserve the right, but not the obligation, to remove or disable access to any content at any time without notice, including but not limited to, if we, in our sole discretion, consider any content to be offensive or in violation of these terms. We have the right to investigate violations of these terms or actions that affect the service. We may also cooperate with law enforcement authorities to prosecute users who violate the law.
From time to time, Uniee may offer additional products and services for purchase through the App Store, Google Play, or other app platforms ("In-App Purchases"). If you choose to make an In-App Purchase, you will be prompted to enter details of your mobile platform account in use (e.g., Apple, Android, etc.) ("Your IAP Account"), and your IAP Account will be charged according to the terms disclosed to you at the time of purchase, as well as the general app platform terms applicable to your IAP Account. If you have purchased an auto-renewing subscription through In-App Purchases, your IAP Account will continue to pay for the subscription according to the platform terms until you cancel. In all cases, please refer to the app platform terms applicable to your In-App Purchases. Uniee is not obligated to terminate your subscription or membership, but you can apply for a refund or cancel the subscription at any time through the App Store or Google Play.
If you subscribe using an Apple ID:
All payments, including refunds, are collected entirely by Apple, not Uniee. To request a refund, please go to iTunes, click on your Apple ID, select "Purchase History," find the transaction, and click "Report a Problem." You can also submit a request at https://getsupport.apple.com.
If you subscribe using a Google Play Store account:
Through Google Play: According to Google Play policy, you are entitled to a full refund within 48 hours of the subscription's start. To request a refund, please go to https://play.google.com/store/account, scroll down to "Order History," find the transaction, and click "Report a Problem." You can also find more information at https://support.google.com.
Through Uniee: Generally, all charges for purchases are non-refundable, and there are no refunds or credits for partially used periods. If a refund request for a subscription product is made within
48 hours after the transaction date, we may make an exception.
The service may provide opportunities for you and other users to submit questions, comments, suggestions, ideas, plans, notes, drawings, original or creative materials, or other information about the service ("Submitted Content"). Regardless of how the Submitted Content is transmitted, it is non-confidential between you and Uniee and will become the exclusive property of Uniee upon receipt. Uniee will own all rights, ownership, and interest, including all intellectual property rights, in such Submitted Content, and Uniee has the right to unrestricted use and dissemination of such Submitted Content for any commercial or other purpose without the need to express gratitude or pay compensation to you. You agree to sign any documents as required by Uniee (at its sole discretion) to confirm the transfer of these Submitted Contents and the unrestricted use and dissemination by Uniee.
Uniee may from time to time provide third-party content and may provide links to third-party websites and content as part of the service ("Third-Party Content"). Uniee does not monitor and is not in control of any Third-Party Content or third-party websites. Unless otherwise explicitly stated by Uniee, Uniee does not endorse or adopt, and is not responsible for or liable for any Third-Party Content. Uniee makes no representations or warranties of any kind regarding any Third-Party Content, including but not limited to any representations or warranties regarding its accuracy, completeness, or non-infringement. Uniee assumes no responsibility for updating or reviewing any Third-Party Content, and users assume the risk of using such Third-Party Content.
You acknowledge and agree that any feedback, comments, or suggestions you may provide regarding the service ("Feedback") will be the exclusive property of Uniee, and you hereby irrevocably assign to us all of your rights, ownership, and interest in all Feedback. You agree that, unless prohibited by law, Uniee may use, sell, disclose, and otherwise exploit the Feedback in any manner for any purpose without restriction and without compensation to you.
Your interactions with other players in the service and with any other parties you interact with through the service and/or Uniee services are entirely at your own risk. Uniee reserves the right, but is not obligated, to intervene in these disputes in any manner.
As a condition of using the service, you release Uniee (including Uniee's shareholders, partners, affiliates, directors, officers, subsidiaries, employees, agents, suppliers, licensees, distributors) from any and all claims, demands, and damages (actual and indirect) of any kind arising out of or related to any disputes between you and one or more players in the service or any disputes you claim to have, whether known or unknown, suspected or unsuspected, disclosed or undisclosed.
You agree to defend, indemnify, and hold harmless Uniee, its subsidiaries, affiliates, independent contractors, service providers, and consultants, and their respective directors, employees, and agents from and against any and all claims, damages, costs, liabilities, and expenses (including, but not limited to, reasonable attorneys' fees) arising from or related to (a) your use of the service, (b) any player content or submission you post, store or otherwise transmit on the service, (c) your violation of these terms and/or any other Uniee terms, policies, or agreements, (d) your infringement of any person's rights, or (e) your conduct in connection with the service.
Uniee shall not be liable for any delay or failure to perform due to matters beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
If any provision of these terms is declared to be wholly or partially invalid or unenforceable, the remaining provisions of these terms and the remaining portion of the affected provision shall continue in full force and effect; however, a court of competent jurisdiction may modify such provision to the extent necessary to make it valid and enforceable, consistent with the intent of the parties.
The failure of Uniee to exercise or enforce any right or provision of these terms shall not be considered a waiver. In the event of a conflict between these terms and any other terms or policies related to the service, these terms shall prevail.
Notwithstanding any provision of these terms, Uniee reserves the right to terminate your license to use the service and block or prevent your future access to and use of the service without notice, at its sole discretion. You may also terminate your account at any time for any reason by following the [Help Center] guidelines in the service or by sending your request to uniee@utrmax.com.
